OVERVIEW

Welcome to Joon. The terms "we", "us" and "our" refer to Joon (operated by NOVENC INC.) operates this website, online store, and the Joon health platform and mobile application (collectively, the "Services") to provide you with premium supplement products and a comprehensive health platform experience.

Joon is powered by Shopify, which enables us to provide certain commerce features of the Services to you.

Please read these Terms of Service carefully. They contain important information about your legal rights, including warranty disclaimers, limitations of liability, a binding arbitration clause, and a class action waiver. By accessing or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.


SECTION 1 — ELIGIBILITY AND ACCOUNT

By using the Services you represent that you are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater. You represent that you have the legal capacity to enter into a binding agreement.

To access certain features you may be required to create an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. Joon is not liable for any loss resulting from unauthorized use of your account.

You may not transfer, sell, or assign your account to any other person. One account per person. We reserve the right to terminate duplicate accounts.


SECTION 2 — THE JOON PLATFORM AND APP

2.1 Nature of the Platform The Joon health platform, including any associated mobile application ("Joon App"), is a wellness companion tool designed to help you track supplement adherence, log personal health habits, monitor self-reported progress, and build consistent daily rituals. The Joon App is provided as a health and wellness organizational tool only.

2.2 Not Medical Advice THE JOON PLATFORM, APP, AND ALL CONTENT, FEATURES, INSIGHTS, RECOMMENDATIONS, PROGRESS DATA, ADHERENCE METRICS, PATTERN ANALYSIS, AND ANY OTHER INFORMATION PROVIDED THROUGH THE SERVICES DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT OF ANY KIND.

The information provided through the Joon App and platform is for general informational and personal wellness tracking purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider. Always seek the advice of your physician or other qualified health professional with any questions you may have regarding a medical condition, medication, or health objective. Never disregard professional medical advice or delay seeking it because of something you have read, seen, or accessed through the Joon Services.

2.3 No Doctor-Patient Relationship Use of the Services does not create a doctor-patient relationship, healthcare provider relationship, or any other professional relationship between you and Joon or any of its employees, contractors, or affiliates.

2.4 Individual Results Health and wellness outcomes are highly individual. Progress data, adherence tracking, and pattern insights displayed within the Joon App reflect self-reported or user-logged information only. Joon makes no representations or warranties that use of the platform or its supplement products will produce any specific health outcome, result, or improvement. Individual results will vary.

2.5 App Availability The Joon App is provided on a complimentary basis with qualifying Joon orders, as described at the time of purchase. Joon reserves the right to modify, suspend, or discontinue any feature of the App at any time without liability. We do not guarantee uninterrupted, error-free access to the App.

2.6 Data Accuracy All health data, progress logs, adherence records, and insights generated within the Joon App are based on information you input. Joon is not responsible for the accuracy, completeness, or reliability of any user-generated data within the platform.


SECTION 3 — SUPPLEMENT PRODUCTS

3.1 FDA Disclaimer These statements have not been evaluated by the Food and Drug Administration. Joon products are not intended to diagnose, treat, cure, or prevent any disease.

3.2 Consult Your Healthcare Provider Before beginning any new supplement regimen, consult with your physician or qualified healthcare provider, particularly if you are pregnant, nursing, have a pre-existing medical condition, are taking prescription medications, or are under the age of 18. Discontinue use and consult a healthcare professional if you experience any adverse reaction.

3.3 Product Descriptions We make every effort to accurately represent our products. However, product formulations, ingredients, certifications, and packaging are subject to change. Product images on the website are for illustrative purposes and actual packaging may vary. Always read the full product label before use.

3.4 Not a Substitute Joon supplements are intended to complement, not replace, a balanced diet, regular physical activity, adequate sleep, and a healthy lifestyle. No supplement product can substitute for proper medical care or a healthy way of living.

3.5 Allergen Notice While Joon products are manufactured in facilities that adhere to Good Manufacturing Practices (GMP), some facilities may also process common allergens. Review all product labels carefully. Joon is not liable for adverse reactions resulting from failure to review ingredient and allergen information.


SECTION 4 — ORDERS AND PURCHASES

When you place an order, you are making an offer to purchase. Joon reserves the right to accept, decline, or cancel any order at its sole discretion, at any time, for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraudulent activity.

Your order is not confirmed until you receive an order confirmation email from Joon. We must receive and process your payment before your order is accepted.

You represent and warrant that your purchases are for your own personal or household use only and not for commercial resale or redistribution.


SECTION 5 — SUBSCRIPTIONS

5.1 Subscription Terms Certain Joon products are offered on a subscription basis. By enrolling in a subscription, you authorize Joon to charge your payment method on a recurring basis at the frequency selected at checkout, until you cancel.

5.2 Billing Your subscription will automatically renew at the then-current rate unless canceled prior to the next billing date. Prices are subject to change with notice provided in accordance with applicable law.

5.3 Cancellation You may cancel your subscription at any time through your account portal or by contacting support@joonpro.com. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial subscription periods except where required by law.

5.4 Pausing Where available, you may pause your subscription through your account. Pausing does not cancel your subscription.


SECTION 6 — PRICING AND BILLING

Prices are subject to change without notice. The price charged will be the price in effect at the time your order is placed as confirmed in your order confirmation email.

Unless expressly stated, posted prices do not include applicable taxes, duties, shipping, or handling fees. You are responsible for all such additional charges.

You represent and warrant that your payment information is accurate, current, and complete, and that you are authorized to use the payment method provided.


SECTION 7 — SHIPPING AND DELIVERY

All delivery timeframes are estimates only and are not guaranteed. Joon is not liable for delays caused by shipping carriers, customs processing, weather, or any other factors outside our reasonable control.

Risk of loss and title for products pass to you upon transfer to the carrier. If your order is lost or damaged in transit, contact us at support@joonpro.com and we will work with you to resolve the issue.


SECTION 8 — RETURNS AND REFUNDS

Due to the consumable nature of dietary supplement products and applicable health and safety regulations, Joon does not accept returns on opened, used, or undamaged products.

Damaged or Incorrect Items: If your order arrives damaged, defective, or incorrect, contact us at support@joonpro.comwithin 7 days of delivery with your order number and photographic evidence. Approved claims will be refunded to your original payment method within 5–7 business days.

Satisfaction Guarantee: Where a satisfaction guarantee is expressly offered on a specific product at the time of purchase, the terms of that guarantee will govern and supersede this general return policy.

Unopened Products: Return requests for unopened, sealed products will be reviewed on a case-by-case basis if submitted within 7 days of delivery.

Refunds will not be issued for orders where delivery was attempted and refused, or where incorrect shipping information was provided at checkout.


SECTION 9 — INTELLECTUAL PROPERTY

All content on the Services, including but not limited to the Joon brand, logo, name, product names, platform name, app design, text, graphics, images, video, audio, data compilations, software, and the selection and arrangement thereof, is owned by or licensed to Joon and is protected by applicable intellectual property laws.

You may not reproduce, copy, republish, upload, post, transmit, modify, distribute, or create derivative works from any content on the Services without our prior written consent.

"Joon," the Joon logo, "Joon Protocol," "Joon Platform," and related marks are trademarks of Joon. Unauthorized use is strictly prohibited.


SECTION 10 — USER CONTENT AND FEEDBACK

By submitting reviews, testimonials, photos, feedback, suggestions, or any other content to Joon, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display such content in any medium for any purpose, including marketing and promotion of the Services.

You represent that you own or have all necessary rights to any content you submit, that it is accurate, and that it does not violate any third-party rights.

Joon is not obligated to use, respond to, or compensate you for any submitted content.


SECTION 11 — PROHIBITED USES

You agree not to use the Services:

  • For any unlawful purpose or in violation of any applicable law or regulation
  • To infringe upon the intellectual property rights of Joon or any third party
  • To transmit false, misleading, or fraudulent information
  • To impersonate any person or entity
  • To upload or transmit viruses, malware, or any other malicious code
  • To scrape, harvest, or extract data from the Services using automated tools, bots, spiders, AI agents, or any other automated or manual extraction method without our express written consent
  • To resell, redistribute, or commercially exploit any portion of the Services or products purchased through the Services
  • To interfere with the security, integrity, or operation of the Services

SECTION 12 — AI AGENTS AND AUTOMATED ACCESS

12.1 This section applies if you use, deploy, or enable any autonomous or semi-autonomous software agent, AI tool, or automated system to access, use, or interact with the Services ("Agent").

12.2 No Agent may access the Services unless it fully identifies itself in all HTTP/HTTPS requests via the user agent string, does not mimic human behavior, does not circumvent CAPTCHAs or access controls, and responds truthfully when queried about whether interactions originate from a human or automated system.

12.3 Joon reserves the right to block, restrict, or terminate any Agent access at any time without notice.

12.4 Joon is not liable for any loss, error, or harm resulting from Agent-based interactions with the Services.


SECTION 13 — HEALTH AND SAFETY ASSUMPTION OF RISK

You acknowledge and agree that the use of dietary supplements and health platform tools carries inherent risks. By purchasing Joon products and using the Joon platform you voluntarily assume all risks associated with supplement use, self-directed health tracking, and wellness habit formation.

You agree that Joon is not responsible for any adverse health effects, injuries, or outcomes arising from your use of our products or platform, particularly where you have failed to consult a qualified healthcare provider, failed to read product labeling, or used the products contrary to recommended guidelines.


SECTION 14 — THIRD-PARTY LINKS AND SERVICES

The Services may contain links to third-party websites, tools, or services. Joon does not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party services is at your own risk and subject to those parties' terms and policies.


SECTION 15 — RELATIONSHIP WITH SHOPIFY

Joon is powered by Shopify. Any sales and purchases made through our store are made directly with Joon. Shopify is not responsible for any aspect of any transaction between you and Joon, including any injury, damage, or loss resulting from products purchased. You expressly release Shopify and its affiliates from all claims arising from your transactions with Joon.


SECTION 16 — DISCLAIMER OF WARRANTIES

THE SERVICES, PLATFORM, APP, AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

JOON DOES NOT WARRANT THAT THE USE OF ITS PRODUCTS OR PLATFORM WILL RESULT IN ANY PARTICULAR HEALTH OUTCOME, IMPROVEMENT, OR RESULT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.


SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, PARTNERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, PERSONAL INJURY, HEALTH OUTCOMES, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE SERVICES, PLATFORM, OR APP
  • YOUR PURCHASE OR USE OF ANY JOON SUPPLEMENT PRODUCT
  • ANY RELIANCE ON INFORMATION PROVIDED THROUGH THE JOON PLATFORM OR APP
  • ANY HEALTH DECISION MADE BASED ON JOON CONTENT OR PLATFORM DATA
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL JOON'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JOON IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100 CAD/USD).


SECTION 18 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Joon, Shopify, and their respective affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.


SECTION 19 — DISPUTE RESOLUTION AND ARBITRATION

19.1 Informal Resolution Before initiating any formal dispute, you agree to contact Joon at support@joonpro.com and attempt to resolve the dispute informally for at least 30 days.

19.2 Binding Arbitration If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration rather than in court, except where prohibited by law. The arbitration shall be conducted under the rules of ADR Institute of Canada or JAMS in the jurisdiction where Joon is headquartered.

19.3 Class Action Waiver YOU AND JOON AGREE THAT EACH MAY ONLY BRING CLAIMS AGAINST THE OTHER IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

19.4 Exceptions Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.


SECTION 20 — GOVERNING LAW

These Terms are governed by the laws of the province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Mississauga, Ontario for any disputes not subject to arbitration.


SECTION 21 — CHANGES TO TERMS

We reserve the right to update these Terms at any time. Material changes will be communicated in accordance with applicable law. Your continued use of the Services following any update constitutes your acceptance of the revised Terms. The current version is always available at joonpro.com.


SECTION 22 — SEVERABILITY

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.


SECTION 23 — ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Joon regarding the Services and supersede all prior agreements.
